These Terms and Conditions outline the rules and regulations for the use of GOOSBABY mobile applications, platform and related services provided by GOOSBABY. GOOSBABY is a platform operates by GOOSHUB HOLDING SDN. BHD., Registration No. 202201046204 (1491901K),

The following terminology applies to these Terms and Conditions, Privacy Statement, and Disclaimer Notice and all Agreements: “Customer”, “Buyer”, “Subscriber”, “You”, and “Your” refer to you, the person using the mobile applications, platform, or subscribe to Goods via the mobile applications and/or Platform, and compliant with the Company’s Terms and Conditions. “The Company”, “GOOSBABY”, “Ourselves”, “We”, “Our”, and “Us” refer to our Company. “Merchants”, and “Sellers” refer to vendor who uses the Platform and/or Services to sell Goods to the Buyer, or provide pick up locations to buyer. “Party” or “Parties” refer to the Customer, the Merchant and, Ourselves. All terms refer to the offer, acceptance, and consideration of payment necessary to undertake the process of our assistance to the Customer in the most appropriate manner for the express purpose of meeting the Customer’s needs in respect of the provision of the Company’s stated services and/or products, in accordance with and subject to, prevailing law. Any use of the above terminology or other words in the singular, plural, capitalization and/or he/she or they are taken as interchangeable and therefore as referring to the same.

  1. Acceptance of Terms & Conditions
    • By accessing GOOSBABY app, you acknowledge and accept the following Terms and Conditions.
  1. Terms of use
    • Access to and use of password protected and/or secure areas of the Platform and/or use of the Services are restricted to Customers with authorised accounts only. You may not obtain or attempt to obtain unauthorised access to such parts of this Platform and/or Services, or to any other protected information, through any means not intentionally made available by us for your specific use. A breach of this provision may be an offence under the Computer Crimes Act 1997 of Malaysia.
    • If you are below 18 years old: You are not allowed to use/access this Platform.
    • Guidelines to the use of Platform and/or Services: You agree to comply with any and all of the guidelines, notices, operating rules and policies, and instructions pertaining to the use of the Services and/or access to the Platform, as well as any amendments to the aforementioned, issued by us, from time to time. We reserve the right to revise these guidelines, notices, operating rules and policies, and instructions at any time and you are deemed to be aware of and bound by any changes to the foregoing upon their publication on the Platform.
    • Restricted activities: You agree and undertake NOT to:
  • impersonate any person or entity or to falsely state or otherwise misrepresent your affiliation with any person or entity;
  • use the Platform and/or Services for illegal purposes;
  • attempt to gain unauthorised access to or otherwise interfere or disrupt another computer systems or networks connected to the Platform or Services;
  • post, promote or transmit through the Platform and/or Services any Prohibited Materials
  • interfere with another’s utilization and enjoyment of the Platform or Services;
  • use or upload, in any way, any software or material that contains, or which you have reasons to suspect that contains, viruses, damaging components, malicious code or harmful components which may impair or corrupt the Platform’s data or damage or interfere with the operation of another Customer’s computer or mobile device or the Platform and/or Services; and
  • use the Platform and/or Services other than in conformance with the acceptable use policies of any connected computer networks, any applicable Internet standards and any other applicable laws.
    • Availability of Platform and Services: We may, from time to time and without giving any reason or prior notice, upgrade, modify, suspend or discontinue the provision of or remove, whether in whole or in part, the Platform or any Services and shall not be liable if any such upgrade, modification, suspension or removal prevents you from accessing the Platform or any part of the Services.
    • Right, but not obligation, to monitor content: We reserve the right, but shall not be obliged to:
  • monitor, screen or otherwise control any activity, content or material on the Platform and/or through the Services. We may in our sole and absolute discretion, investigate any violation of the Terms of Use contained herein and may take any action it deems appropriate;
  • prevent or restrict access of any Customer to the Platform and/or the Services;
  • report any activity it suspects to be in violation of any applicable law, statute or regulation to the appropriate authorities, and to co-operate with such authorities; and/or
  • to request any information and data from you in connection with your use of the Services and/or access of the Platform at any time and to exercise our right under this paragraph if you refuse to divulge such information and/or data or if you provide or if we have reasonable grounds to suspect that you have provided inaccurate, misleading or fraudulent information and/or data.
  1. Cookies
    • We employ the use of cookies. By accessing GOOSBABY, you agree to use cookies in agreement with the GOOSBABY Privacy Policy. Most interactive apps use cookies to let us retrieve the visitors’ details for each visit. Cookies are used by our app to enable the functionality of certain areas to make it easier for people visiting our app. Some of our affiliate/advertising partners may also use cookies.
  1. Intellectual Property & License
    • Unless otherwise stated, GOOSBABY and/or its licensors own the intellectual property rights for all materials on GOOSBABY. All intellectual property rights are reserved. You may access this from GOOSBABY for your own personal use, subject to restrictions set in these Terms and Conditions. You must not:
  • Republish material from GOOSBABY
  • Sell, rent, or sublicense material from GOOSBABY
  • Reproduce, duplicate, or copy material from GOOSBABY
  • Redistribute content from GOOSBABY.
  • This Agreement shall begin on the date hereof. Parts of this app offer an opportunity for users to post and exchange opinions and information in certain areas of the app. GOOSBABY does not filter, edit, publish, or review comments prior to their presence on the app. Comments do not reflect the views and opinions of GOOSBABY, its agents, and/or affiliates. Comments reflect the views and opinions of the person who posts their views and opinions. To the extent permitted by applicable laws, GOOSBABY shall not be liable for the comments or for any liability, damages, or expenses caused and/or suffered as a result of any use of and/or posting of and/or appearance of the comments on this app. GOOSBABY reserves the right to monitor all comments and to remove any comments that can be considered inappropriate, offensive, or causes a breach of these Terms and Conditions. You warrant and represent that:
  • You are entitled to post the comments on our app and have all necessary licenses and consents to do so;
  • The comments do not invade any intellectual property right, including without limitation copyright, patent, or trademark of any third party;
  • The comments do not contain any defamatory, libelous, offensive, indecent, or otherwise unlawful material that is an invasion of privacy; or
  • The comments will not be used to solicit or promote business or custom or present commercial activities or unlawful activity.
  • You hereby grant GOOSBABY a non-exclusive license to use, reproduce, edit, and authorize others to use, reproduce, and edit any of your comments in any and all forms, formats, or media.
  1. Hyperlinking to our Content
    • The following organizations may link to our app without prior written approval:
  • Government agencies;
  • Search engines;
  • News organizations;
  • Online directory distributors may link to our app in the same manner as they hyperlink to the apps of other listed businesses; and
  • System-wide Accredited Businesses except soliciting non-profit organizations, charity shopping malls, and charity fundraising groups that may not hyperlink to our app.
  • These organizations may link to our home page, to publications, or to other app information so long as the link: (a) is not in any way deceptive; (b) does not falsely imply sponsorship, endorsement, or approval of the linking party and its products and/or services; and (c) fits within the context of the linking party’s app. We may consider and approve other link requests from the following types of organizations:
  • Commonly-known consumer and/or business information sources;
  • community sites;
  • Associations or other groups representing charities;
  • Online directory distributors;
  • Internet portals;
  • Accounting, law, and consulting firms; and
  • Educational institutions and trade associations.
  • We will approve link requests from these organizations if we decide that: (a) the link would not make us look unfavorably to ourselves or to our accredited businesses; (b) the organization does not have any negative records with us; (c) the benefit to us from the visibility of the hyperlink compensates for the absence of GOOSBABY and (d) the link is in the context of general resource information. These organizations may link to our home page so long as the link: (a) is not in any way deceptive; (b) does not falsely imply sponsorship, endorsement, or approval of the linking party and its products or services; and (c) fits within the context of the linking party’s app. If you are one of the organizations listed above and are interested in linking to our app, you must inform us by sending an e-mail to GOOSBABY. Please include your name, your organization name, contact information as well as the URL of your site, a list of any URLs from which you intend to link to our app, and a list of the URLs on our app to which you would like to link. It takes 2-3 weeks for a response. Approved organizations may hyperlink to our app as follows:
  • By use of our corporate name; or
  • By use of the uniform resource locator being linked to; or
  • By use of any other description of our app being linked to that makes sense within the context and format of content on the linking party’s app.
    • Do not use GOOSBABY’s logo or other artwork without a trademark license agreement. You shall not use the name, trademark, or logo of GOOSBABY in any sales, marketing, press release, advertisement, or other publication and make a public statement relating to GOOSBABY provided that you shall first obtain the written consent from GOOSBABY prior to each use of the name, trademark, or logo of GOOSBABY.
  1. Content Liability
    • No link(s) should appear on any website that may be interpreted as libelous, obscene, or criminal, or which infringes, otherwise violates, or advocates the infringement or other violation of any third-party rights. We shall not be held responsible or liable for the content of any third-party information.
  1. Subscription Terms & Conditions
    • GOOSBABY provides a platform and opportunity for the subscriptions of Goods for Subscribers. Each subscription plan is associated with specific diaper brands, ensuring that subscribers receive authentic and quality Goods. The duration of the subscription is predetermined by the Subscriber’s child’s age and our AI recommendation, offering options of 12, 18, or 24 months. Each diaper plan exclusively features a single diaper range, and mix-and-match options are not available.
    • Goods Redemption Process: You can easily redeem your Goods through the App, selecting your preferred sizes and types. Goods can be picked up at the Merchants’ location during operating hours.
    • Unused and Expired Credit: Subscribers will receive weekly reminders from GOOSBABY regarding credit redemption. All credits issued to the subscriber will expire in 30 days from the date of issuance. After the 30-day period, any unused or expired credits will no longer be eligible for redemption and will be forfeited.
    • Monthly Delivery or Pick-up Point Collection: GOOSBABY only provide goods delivery to doorsteps until an appointed pick-up point is assigned to subscribers. Subscribers agree to pick up their goods from an appointed pick-up point (within 8-10km radius from the registered address) once the pick-up point is assigned.
    • Expected Delivery: Subscribers acknowledge that delivery will take 7 working days after payment is received, late payment could result in a late delivery.
    • Goods Exchange: Once subscribers select goods/ diaper sizes from app, subscribers are not allowed to exchange. Once goods are delivered, it is not exchangeable, returnable and refundable.
    • The Goods purchased are not for resale.
  1. Payment Term:
    • Payment Methods: Payment for the subscription services offered by us is to be made through the designated payment methods available in our mobile application. Subscribers have the flexibility to choose between a one-time full payment, a monthly installment plan facilitated by credit card transactions or monthly autodebit from bank account.
    • Payment, Debit Card or Credit Card Information: Subscribers are responsible for providing accurate and complete payment information during the subscription process. In cases where the monthly installment plan is selected, automated deductions will be carried out on the registered credit card and registered bank account monthly.
    • Credit Card Installment (Easy Payment Plan): Subscribers acknowledge and agree to have the monthly subscription amount deducted from their respective bank accounts.
    • Monthly Autodebit Payment: Subscribers must set up monthly recurring payments through their respective bank within 3 business days from subscribing date. Subscribers must ensure their bank accounts have sufficient funds for recurring payments every month to Gooshub Holding Sdn. Bhd. Failure to do so will result in forfeiture of the deposit (equivalent to one month payment).
  1. Cancellation Policy
  • Minimum Subscription Period: Cancellation is permitted only after the first 6 months of the subscription.
  • Cancellation Fee: A cancellation fee of 5–10% of the subscription package will apply, depending on the package duration. The 1-month deposit will also be forfeited.
  • Official Cancellation Request: Customers must send an official cancellation request via email to [email protected]. The cancellation will only take effect once the Goosbaby team reviews the request and sends an official acknowledgment email confirming the cancellation.
  • Auto-Debit Settings: Customers are responsible to cancel their auto-debit settings with their bank or payment provider to avoid unintended charges.
  • Refund Responsibility: Goosbaby will not be responsible for refunds of any auto-debit transactions processed after the cancellation.
  1. Replacement & Refund Policy
    • GOOSBABY understands that situations may arise, and subscribers may need a refund under specific circumstances: We offer two replacement & refund options:
    • Diaper Replacement: If the purchased diaper brand is not suitable for your child, we will suggest a replacement with a similar diaper range to ensure your child’s comfort. This option is available only once and within the first month of subscription. It is subject to approval and our team’s assessment of the situation.
    • Compassionate Refund: In the unfortunate event of your child’s passing, we provide a full refund based on the remaining unredeemed diaper amount.

Please note that both replacement and refund options are subject to approval by GOOSBABY.

  1. Your Submissions and Information
    • Submissions by you: You grant us a non-exclusive license to use the materials or information that you submit to the Platform and/or provide to us, including but not limited to questions, reviews, comments, and suggestions (collectively, “Submissions”). When you post comments or reviews to the Platform, you also grant us the right to use the name that you submit or your Username in connection with such review, comment, or other content. You shall not use a false e-mail address, pretend to be someone other than yourself or otherwise mislead us or third parties as to the origin of any Submissions. We may, but shall not be obligated to, publish, remove, or edit your Submissions.
    • Consent to Receive e-mails: You consent to and authorise the use by us of any information provided by you (including Personal Data) for the purposes of sending informational and promotional e-mails to you. Your agreement to the provisions of this Clause shall constitute your consent for the purpose of the provisions of any spam control laws (whether in Malaysia or elsewhere). You may subsequently opt out of receiving promotional e-mails by clicking on the appropriate hyperlink in any promotional e-mail.
    • Privacy Policy: You acknowledge that you have read and agree to the Privacy Policy as set by GOOSBABY and consent to our collection, use and disclosure of your Personal Data for the purposes as set out in the Privacy Policy.
  1. Termination of use
    • Termination by us: In our sole and absolute discretion, we may with immediate effect upon giving you notice, terminate your use of the App, Platform and/or Services and/or disable your Username, Password and/or Biometric Login function. We may bar access to the App, Platform and/or Services (or any part thereof) for any reason whatsoever, including a breach of any of these Terms or where if we believe that you have violated or acted inconsistently with any terms or conditions set out herein, or if in our opinion or the opinion of any regulatory authority, it is not suitable to continue providing the services relating to the Platform.
  1. Reservation of Rights
    • We reserve the right to request you to remove all links or any particular link from GOOSBABY platform. You agree to immediately remove all links from our app upon such request, not more than 3 days. We also reserve the right to amend these Terms and Conditions and its linking policy at any time. By continuously linking to our app, you agree to be bound by and follow these linking Terms and Conditions.
  1. Removal of Links from our App
    • If you find any link on our app that is offensive for any reason, you are free to contact and inform us. We will consider such a request to remove the links, but we are not obligated to do so or to respond to you directly. We do not ensure that the information on this app is correct, we do not warrant its completeness or accuracy; nor do we promise to ensure that the app remains available or that the material on the app is kept up to date.
  1. Disclaimer
    • To the maximum extent permitted by applicable law, we exclude all representations, warranties, and conditions relating to our app and the use of this app, including any and all implied warranties or conditions of title, non-infringement, merchantability, or fitness or suitability for any purposes (whether or not a party knows, has reason to know, has been advised, or is otherwise, in fact, aware of any such purpose), whether alleged to arise by law, by reason of custom or usage in the trade, or by the course of dealing. Nothing in this disclaimer will:
  • Limit or exclude our or your liability for death or personal injury;
  • Limit or exclude our or your liability for fraud or fraudulent misrepresentation;
  • Limit any of our or your liabilities in any way that is not permitted under applicable law; or
  • Exclude any of our or your liabilities that may not be excluded under applicable law.

The limitations and prohibitions of liability set herein and elsewhere in this disclaimer: (a) are subject to the preceding paragraph; and (b) govern all liabilities arising under the disclaimer, including liabilities arising in contract, in tort, and for breach of statutory duty. As long as the app and the information and services on the app are provided free of charge, we will not be liable for any loss or damage of any nature.

  1. Changes of Terms
    • We reserve the right to update, change, or replace any part of these Terms by posting updates and changes. Your continued use of the app after such changes constitutes acceptance of the modified Terms.
